Job Summary
Advise the CEO and Executive Team on corporate governance, entity structuring, and strategic transactions including capital raises, IPO, M&A, and joint ventures. Draft and negotiate agreements for commodity offtake, feedstock supply, tolling, and long-term sales contracts while managing routine NDAs, LOIs, and vendor contracts. Support greenfield and brownfield facility development by overseeing EPC contracts, equipment supply agreements, and owner's engineer arrangements. Oversee compliance with federal, state, and local environmental regulations and maintain the company's ethics and compliance program. Report to the CEO and advise the Executive Team on legal, regulatory, and risk matters in a fast-moving environment.
Required Qualifications
- J.D. from an accredited law school
- active U.S. bar membership
- 5-10+ years of experience at a well-regarded law firm
- Demonstrated hands-on contracting experience - commodity offtake, commercial agreements, LLCs, and NDAs
- Experience with international commercial agreements
- Background in project development, construction contracts, or infrastructure transactions
- Proven ability to operate independently
Desired Qualifications
- In-house experience
- Experience in energy, industrials, cleantech, commodities, or manufacturing
- Familiarity with carbon markets, environmental attributes, or sustainability-linked finance
- Intellectual property experience in a manufacturing or technology context
- Experience with EPC contracts and project finance structures
- Prior exposure to IRA tax credits, DOE loan programs, or federal grant frameworks
