Job Summary
Lead counsel on debt and structured finance transactions, including asset-backed securitizations, warehouse lending facilities, and forward flow agreements supporting PayPal's global consumer and merchant credit portfolios. Advise on securities law compliance for registered and exempt offerings, partner with Treasury and Finance to structure financings, and counsel on disclosure obligations and reporting requirements. Manage relationships with outside counsel, rating agencies, and underwriters while monitoring regulatory developments affecting capital markets activity in consumer finance. Identify and manage legal risk across the transaction lifecycle from term sheet through closing, develop internal legal playbooks, and coordinate with local counsel in international jurisdictions.
Required Qualifications
- 10+ years relevant experience
- Juris doctorate degree
- active bar membership in at least one U.S. jurisdiction
- 10+ years of Capital Markets legal experience
- meaningful time at a top-tier law firm focused on structured finance, ABS, or debt capital markets
- Demonstrated experience with consumer loan securitization or asset-backed finance
- familiarity with credit card ABS, personal loan ABS, or BNPL-related financing structures
- Working knowledge of the regulatory environment governing fintech-bank partnerships
- knowledge of bank partnership lending models
- knowledge of the role of originating bank partners in the capital markets context
- Strong drafting skills
- experience managing complex, multi-party transaction processes under time pressure
- Ability to translate sophisticated legal and structural analysis into clear, actionable advice for business, legal and finance stakeholders
- Demonstrated ability to manage complex, multi-jurisdictional transactions

Desired Qualifications
