Job Summary
Lead private company financings, secondary transactions, M&A, and strategic investments from structuring through closing. Support the General Counsel on Board and committee matters, including reporting, meeting materials, resolutions, and transaction approvals. Manage legal aspects of fundraising, investor diligence, shareholder matters, and ongoing corporate governance. Own equity plans and administration, including grants, exercises, transfers, and cap table integrity in coordination with Finance and People. Manage corporate formations, subsidiaries, entity governance, and compliance for international expansion. Work closely with outside counsel to drive high-quality, responsive advice while maintaining disciplined legal spend. Build scalable processes, playbooks, templates, approval frameworks, and recordkeeping practices that allow the corporate legal function to scale with the business. This hybrid role is based in San Francisco or New York City.
Required Qualifications
- J.D. and active membership in good standing in at least one U.S. jurisdiction
- 10+ years of relevant corporate legal experience in private practice and/or in-house
- Significant experience advising venture-backed companies on private financings, M&A, corporate governance, and other strategic transactions
- A mix of top-tier corporate law firm and in-house experience, ideally at a late-stage, high-growth technology company
- Strong knowledge of U.S. corporate and securities law applicable to high-growth private companies
- Experience with equity compensation, cap tables, capitalization records, and corporate governance
- Experience managing subsidiaries, corporate formations, and entity compliance
- Strong track record of managing outside counsel and working effectively with senior executives, Boards, investors, and cross-functional teams
- Excellent judgment, drafting, negotiation, and project-management skills, with the ability to move seamlessly between complex transactions and hands-on execution
- This hybrid role is based in San Francisco or New York City
Desired Qualifications
- Familiarity with Carta or similar equity management platforms
- Experience supporting international expansion and foreign entity formation and governance
- Experience with private-company secondary transactions or other liquidity programs
- Experience building or scaling a corporate legal function, infrastructure, or processes
- Comfortable operating in a fast-moving environment where priorities evolve and the Legal team is expected to be both strategic and highly execution-oriented
- Willingness to roll up your sleeves and support business and legal matters that benefit from your judgment and expertise
