Job Summary
Draft, negotiate, and advise on complex power generation, EPC, and project finance transactions, including utility-scale agreements, tolling, and structured financing. Lead due diligence, transaction structuring, and integration for M&A, joint ventures, and strategic partnerships. Manage outside counsel, coordinate cross-functional teams across engineering, finance, and operations, and develop contracting playbooks to improve lifecycle management. Identify and mitigate legal risks in commercial operations, supply chain, and procurement activities. Translate complex technical and financial issues into clear advice for executive leadership and board members. Travel 10–15% to project sites and external meetings; wear required PPE for site visits.
Required Qualifications
- J.D. from an accredited law school
- license to practice law in Connecticut or another U.S. jurisdiction
- admission to the Connecticut Bar or Connecticut Authorized House Counsel status within six months of employment
- At least 10 to 15 years of progressively responsible legal experience
- experience supporting complex commercial, energy, infrastructure, manufacturing, project finance, corporate finance, or public company matters
- Demonstrated experience drafting and negotiating complex transaction and project agreements
- Experience with project development and project finance structures
- Experience with M&A, joint ventures, joint development agreements, strategic partnerships, and licensing
- Experience in utility-scale power generation, infrastructure, clean energy, project development, manufacturing, or energy technology sectors
- Familiarity with energy regulatory agencies, independent system operators, tariffs, interconnection, permitting, and market structures relevant to power generation projects
- Ability to translate complex legal, technical, engineering, financial and commercial issues into clear advice for senior management and cross-functional business teams
- Strong judgment in balancing legal risk and commercial objectives
- Must be able to work at a desk and on a computer for extended periods of time
- Must be able to move about buildings and project sites to attend meetings and conduct site visits
- Must be able to travel, including to Company locations, customer sites, project sites, financing or transaction meetings, and external conferences
- Travel is expected to be approximately 10%–15%
- some international travel may be required
- Must be able and willing to wear required personal protective equipment (PPE), including safety glasses, safety shoes, hard hat, and other PPE as required for manufacturing, project, or customer site visits
- The successful candidate is required to complete a drug screen, criminal background check, and employment and education verification
