Debt Finance Associate Attorney

Job Summary
Draft and negotiate credit agreements, commitment letters, security agreements, and collateral documents for leveraged finance and secured lending transactions. Manage financings from due diligence through closing by preparing checklists, issues lists, and transaction documents while representing lenders, borrowers, private equity sponsors, and financial institutions. Handle acquisition financings, recapitalizations, and refinancing matters with a focus on Article 9 of the Uniform Commercial Code. Independently manage multiple transactions while maintaining significant client interaction within a collaborative AmLaw 50 environment.
Required Qualifications
- 1–3 years of debt finance, leveraged finance, banking & finance, or corporate finance experience gained at a large law firm
- Experience representing lenders, borrowers, private equity sponsors, direct lenders, banks, and financial institutions
- Experience handling secured lending, acquisition financings, leveraged buyouts, recapitalizations, refinancing transactions, and other commercial finance matters
- Experience drafting and negotiating credit agreements, commitment letters, security agreements, collateral documents, guaranties, and related financing documents
- Experience managing financings from due diligence through closing, including preparing closing checklists, issues lists, and transaction documents
- Working knowledge of Article 9 of the Uniform Commercial Code (UCC)
- J.D. from an ABA-accredited law school required
- New York bar admission required or ability to become admitted
Desired Qualifications
- Experience with debt securities offerings, high-yield debt, convertible notes, and general corporate law is a plus
- Strong drafting, negotiation, analytical, organizational, and communication skills
- Ability to independently manage multiple transactions while maintaining significant client interaction
- Excellent academic credentials
