Counsel - Vendor Management & Privacy -- Remote

Job Summary

Analyze legislation and regulatory requirements, prepare and interpret legal documents, and review company policies to ensure compliance and mitigate risk. Review vendor contracts to identify privacy control gaps, validate IT security language, map data flows to third parties, and assess Generative AI usage terms. Support major audits including SOC 2, coordinate contract negotiations and amendments with vendors, and execute Data Processing Addendums. Draft amendments to complex insurance contracts and partner with Finance to ensure budgetary alignment. This remote Counsel role reports to leadership and serves as a trusted advisor to business stakeholders. The position supports USAble Life's mission to make a meaningful difference in customer and employee lives through robust privacy and vendor management practices.

Required Qualifications

  • Must have familiarity with HIPAA and state and federal data privacy laws.
  • Must have background in contract law, contract drafting, and familiarity with SAAS contracting.
  • Outstanding communication skills, both oral and written, with the ability to engage a wide range of audiences.
  • Ability to be a key business partner.
  • Analytical ability to interpret statues, regulations, insurance policies, and other contracts.
  • Interpersonal skills with the ability to be seen as a trusted advisor
  • Decision-making ability to set work priorities and make recommendations .
  • Strong negotiation and diplomacy skills, unquestionable integrity, strong work ethic, strong business acumen, and good judgement.
  • Juris Doctorate Degree from an accredited law school.
  • Active member of a US State bar.
  • 2+ years of experience as a practicing lawyer.
  • Or, equivalent military experience.

Desired Qualifications

  • 5+ years of experience as a practicing lawyer.
  • Experience in Insurance Regulation and/or experience in highly regulated environment or industry.
  • Experience in federal and/or state regulatory requirements governing Life, Disability, Dental, Supplemental and/or Absence and Leave Management Insurance products.
  • CIPP Certification.
