Job Summary
Counsel will serve as a key member supporting the organization’s legal needs by managing the contracts team and other legal-related processes, assisting the General Counsel in providing legal advice to business stakeholders. Responsibilities include overseeing paralegals and preparing client engagement letters, master services agreements, responses to requests for proposals, subcontractor agreements, NDAs, conflict waivers, and other vendor/client-related agreements; overseeing subpoena compliance and court-related matters; reviewing leases; managing the organization’s intellectual property; and ensuring efficient use of outside counsel. The role requires a Juris Doctor degree,Bar admission in a U.S. state, and 3-7 years of relevant experience, with strong contract drafting/negotiation skills and the ability to work independently and as part of a team. Required Qualifications
- Juris Doctor (JD) degree required
- Member in good standing with the Bar in one U.S. state or territory
- 3 to 7 years of relevant attorney experience
- Litigation experience required
- Experience drafting, reviewing, negotiating, and advising on a variety of contracts (including client, vendor, and third-party agreements)
- Experience with master services agreements, NDAs, subcontractor agreements, and RFP responses
- Ability to oversee paralegals and manage outside counsel usage of time/resources
- Ability to review leases and manage related work
- Strong written and verbal communication and interpersonal skills
- Detail-oriented with excellent organizational skills
- Ability to work independently and as part of a team
- Willingness to work occasional nights or weekends
- Interest in contributing to strategic development of a growing legal department
