Job Summary
Draft and negotiate corporate and transactional documents including operating agreements, merger agreements, purchase agreements, shareholder agreements, and related governance materials; support mergers and acquisitions transactions, including structuring analysis and review of tax-related transaction provisions; perform legal and tax research related to corporate transactions, entity structuring, partnership matters, and exit strategies; work closely with clients, CPAs, and outside advisors on transaction planning and execution; provide support on matters involving partnership structures, S-corporations, tax-efficient reorganizations, and real estate investment strategies; coordinate with internal tax and estate planning teams on sophisticated client matters; mentor junior attorneys and contribute to the continued growth of the practice.
Required Qualifications
- 5+ years of relevant law firm experience
- J.D. from an ABA-accredited law school
- Active bar license, preferably in Colorado
- LLM in Taxation preferred, though equivalent experience will be considered
- Strong drafting, analytical, and organizational skills
- Experience with corporate transactions, M&A, and tax-related structuring matters
- Client-facing experience and strong interpersonal communication skills required
- Ability to work independently while thriving in a collaborative team environment
