Job Summary

Prepare, review, and file SEC reports and disclosures, including Forms 10-K, 10-Q, 8-K, proxy statements, and Section 16 filings. Maintain SEC filing calendars, coordinate information gathering across stakeholders, and administer insider trading compliance programs. Support Board and Committee meetings by preparing materials, agendas, resolutions, and minutes while managing corporate records and governance documentation. Assist with shareholder meetings, proxy statement preparation, and due diligence for corporate transactions. Collaborate cross-functionally with Legal, Finance, HR, and Investor Relations teams to ensure compliance with SEC regulations and corporate governance requirements. This role requires a Bachelor's degree, Paralegal Certificate, and 3–5 years of experience in corporate securities or public company compliance. Candidates must be authorized to work in the United States without sponsorship. Salary range is $80,000–$100,000 for NYC-based applicants.

Required Qualifications

  • Bachelor's degree
  • Paralegal Certificate
  • Minimum of 3–5 years of experience supporting corporate securities, public company compliance, corporate governance, or related legal functions
  • Experience with independently drafting and submitting SEC filings, including Forms 10-K, 10-Q, 8-K, proxy statements, and Section 16 reporting
  • Strong understanding of public company reporting requirements, corporate governance practices, and securities law compliance
  • Experience maintaining corporate records, minute books, and governance documentation
  • Candidates must be authorized to work in United States without the need for sponsorship, now or in the future
