Corporate Paralegal

Job Summary
Own the document review calendar across all active agreements, amendments, consents, and closing documents; track turnaround commitments and proactively follow up with internal reviewers, executives, and outside counsel to keep redlines moving against deal deadlines. Serve as the central point of accountability for document status; maintain a live tracker showing where every document sits, who has the pen, and when it is due back. Coordinate real time working sessions with reviewers when asynchronous review is not producing results; sit with stakeholders as needed to walk documents through to completion. Escalate stalled reviews to the Legal Operations Manager, CLO, or executive team before they impact signing or closing timelines. Manage version control across all transaction documents; run comparisons, prepare clean and redlined versions, and ensure the correct version is always in circulation. Prepare and manage signature packets, e-signature workflows, and fully executed document distribution and filing. Build and maintain closing checklists for commercial, financing, and real estate transactions; track conditions precedent and post closing deliverables. Maintain corporate entity records, minute books, board consents, and organizational documents; support corporate governance filings and annual compliance. Maintain and organize data rooms for financings and diligence processes. Support contract lifecycle management, including intake, template usage, obligation tracking, and renewals. Assist the CLO and Legal Operations Manager with special projects, including process improvement and legal technology implementation.
Required Qualifications
- 3 or more years of paralegal experience in a corporate or transactional practice, whether at a law firm or in house
- Demonstrated experience managing document workflows across multiple simultaneous transactions
- Advanced proficiency in Microsoft Word, including tracked changes, document comparison tools, and version management
- experience with e-signature platforms and data room providers
- Exceptional follow through and comfort holding senior stakeholders accountable to deadlines with professionalism and tact
- Strong written and verbal communication

Desired Qualifications
- experience supporting a high volume deal environment
- Paralegal certificate or bachelor's degree
- Experience supporting venture financings, debt transactions, or data center and real estate deals
- Familiarity with contract lifecycle management tools and legal operations workflows
- Notary public commission in Nevada, or willingness to obtain one
