Job Summary
Prepare and maintain capitalization tables, draft closing certificates, and file SEC, FINRA, and Blue Sky documents for M&A, private equity, and securities transactions. Conduct due diligence on contracts and corporate records, manage board minute books, and oversee LLC and corporate books in compliance with legal requirements. Coordinate with third parties for filings, track key deadlines, and assist attorneys with transactional support using Carta, Pulley, and Litera. Requires a bachelor's degree, 3–5 years of corporate law experience, and proficiency in Microsoft Office and deal management software.
Required Qualifications

- Minimum 3-5 years of experience as a corporate paralegal

Desired Qualifications
- Paralegal certification
- Ideally, 3–5 years of experience, particularly in ECVC, M&A, private equity, and securities work in a law firm
- Excellent written and oral communication abilities
- Proficiency in Microsoft Office Suite, iManage, DocuSign, and deal management software (such as Carta, Pulley, AngelList, ShareWorks)
- Familiarity with Blue Sky compliance, UCC filings, and SEC reporting
- Ability to train and mentor colleagues on job responsibilities, ensuring efficient knowledge transfer and skill development
- Ability to handle sensitive information with discretion and maintain confidentiality
- Attention to detail and ability to manage complex transactions
- Strong initiative, resourcefulness, and the ability to work independently and in a team environment
- Proactive and client-service-oriented approach to problem-solving
- Commitment to high standards of legal service and professionalism
