Job Summary

Prepare closing checklists, circulate signature pages, and coordinate lender due diligence for high-volume subscription and NAV lending transactions. Manage UCC financing statements, tax lien searches, and post-closing collateral requirements while leveraging AI tools to review fund documents and prepare diligence matrices. Draft ancillary documents, compile secretary's certificates, and coordinate document execution via DocuSign and notarization across multiple concurrent financings. Maintain version control, data rooms, and transaction pipelines to track conditions precedent and subsequent deadlines. This role reports to the Transactional Paralegal Supervisor within a fast-paced practice requiring strong organizational skills and the ability to handle numerous simultaneous closings.

Required Qualifications

  • Bachelor's degree, or an equivalent combination of education and substantive paralegal experience
  • Candidate must meet any applicable state requirements governing the performance of paralegal duties, including any required certifications or qualifications
  • 5+ years of relevant experience
  • Ability to work overtime as needed

Desired Qualifications

  • Working knowledge of secured lending documentation (credit agreements, security agreements, and guarantees) and UCC perfection mechanics
  • Familiarity with fund finance (subscription/capital call and NAV facilities)
  • Experience including secured lending, fund finance, or banking/finance transactional support in an Am Law 100 Firm
  • Notary
