Corporate Paralegal

Job Summary
Maintain corporate records, minute books, and ownership documents for Delaware and Florida entities while managing filings, annual reports, and resolutions. Assist attorneys with acquisitions, financings, and joint ventures by coordinating due diligence, organizing data rooms, and preparing closing checklists. Review and track contracts, amendments, and regulatory filings to support compliance initiatives and intellectual property rights. Manage legal department calendars, document workflows, and matter files while prioritizing competing deadlines. Prior experience in corporate governance, entity management, and legal operations is required.
Required Qualifications
- Prior experience as a corporate paralegal, legal assistant, or legal operations professional in a law firm or in-house legal department
- Working knowledge of corporate governance, entity management, corporate filings, and legal document organization
- Strong proofreading, organizational, and project management skills
- Ability to handle confidential information with discretion and professionalism
- Excellent written and verbal communication skills, with the ability to interact effectively with business teams and outside counsel
- Proficiency with Microsoft Office, document management systems, contract management tools, entity management platforms, and electronic signature tools
- Ability to work independently, prioritize competing deadlines, and follow through on assignments with accuracy and efficiency
Desired Qualifications
- Bachelor's degree, paralegal certificate, or equivalent relevant experience preferred
- Detail-oriented, proactive, resourceful, and comfortable taking ownership of recurring legal processes
- Experience supporting real estate, corporate finance, private equity, hospitality, development, or investment-related matters is a plus
- Comfortable working with senior leadership and managing time-sensitive legal and business requests
- Strong sense of urgency, accountability, and follow-through
- Collaborative team player with a practical, business-minded approach
