Corporate Paralegal - Contracts & Entity Governance

Job Summary
Prepare, review, and assemble drafts of commercial and healthcare agreements including NDAs, PSAs, vendor contracts, and physician amendments using established corporate playbooks. Manage the internal intake queue for legal review requests, prioritize urgent business needs, and oversee execution workflows via e-signature tools while ensuring proper digital archiving and indexing. Maintain comprehensive corporate records, minute books, and organizational charts for all subsidiaries; prepare, file, and track annual reports, franchise tax filings, and state registrations across operating jurisdictions to maintain good standing. Coordinate with legal counsel to verify compliance documentation in physician and operational contracts, generate regular reporting on contract volumes and entity status metrics, and respond to requests for proof of good standing during audits or due diligence.
Required Qualifications
- Paralegal Certificate (ABA-approved preferred)
- Bachelor's Degree
- 3–5+ years of experience as a paralegal or legal specialist in an in-house legal department or law firm
- direct experience in contract administration and corporate entity management
- Advanced proficiency in Microsoft Office Suite (Word, Excel, PowerPoint, Outlook) and Google Suites
- Demonstrated experience working with enterprise Contract Lifecycle Management (CLM) software and entity management databases
- Rigorous attention to detail and exceptional organizational and record-keeping skills
- Strong drafting and proofreading capabilities
- Clear, professional communication skills with cross-functional teams (Operations, Finance, HR, Compliance)
- Ability to manage multiple statutory deadlines and priority contract workflows in a fast-paced environment
Desired Qualifications
- Prior experience in a healthcare, medical practice, physician group, hospital, or MSO environment
- Basic understanding of physician staffing agreements and healthcare compliance frameworks (e.g., Stark Law, Anti-Kickback Statute, HIPAA, FMV documentation)
- Experience utilizing registered agent portals (CSC) for corporate filings and maintenance
