Corporate Legal Counsel

Job Summary
Manage corporate legal matters for Egeria Group AG and its affiliated entities, including corporate governance, entity maintenance, and statutory compliance. Draft, review, and negotiate agreements such as shareholder resolutions, board minutes, and intercompany contracts. Support corporate restructurings, entity formations, and liquidations while advising stakeholders on Swiss corporate law and cross-border considerations. Liaise with external counsel, notaries, and the Swiss commercial register for filings. Work closely with the Chief Legal & Tax Officer on transactions and financing arrangements. Contribute to improving internal legal processes and templates. This hands-on role within an international investment group offers direct exposure to senior stakeholders in a collegial, entrepreneurial environment in Zug.
Required Qualifications
- 4–6 years of relevant experience, gained in-house, at a law firm, or within a Big Four professional services firm
- Solid grounding in corporate law
- exposure to Swiss corporate structures and governance requirements
- Strong drafting and negotiation skills
- Ability to work independently, manage multiple matters simultaneously, and communicate clearly with both legal and non-legal stakeholders
- Fluency in English
- Fluency in German
