Job Summary
Senior Corporate Legal Counsel responsible for legal structuring and regulatory pathways for strategic launches (including new business lines and international expansion), managing M&A transactions from LOI to closing, designing multi-jurisdictional equity and tax frameworks, overseeing corporate governance documentation and shareholder rights, and building internal legal templates and decision-making guidelines. The role requires negotiating and drafting LOIs and SPAs, conducting due diligence, advising on governance and capital transactions, and coordinating with Finance, Product, and other teams to ensure compliant, business-enabled legal solutions across multiple jurisdictions (France, Belgium, Spain, Canada) and beyond. Strong emphasis on autonomous, high-quality drafting, risk assessment, and effective collaboration with external counsel. Fluency in English and French is required, with experience in international corporate practice and a track record of practical, scalable governance and transactional work.
Required Qualifications
- 5 to 10 years Corporate, M&A and/or tax law practice in an international environment
- at least 3 years at a top international law firm
- Mastery of legal writing in both French and English
- D-F level range for this role
