Job Summary
Lead legal implementation of the regulatory framework on internal governance and central administration under Circular CSSF 26/906. Support corporate bodies to ensure decision-making processes and administrative centers remain legally sound and compliant. Direct the legal management of the Board of Directors, relevant committees, and Shareholders' meetings by drafting complex minutes and resolutions. Proactively identify governance upgrades needed as the company scales and advise on organizational design from a governance and regulatory lens.
Required Qualifications
- Lawyer
- 7 to 10 years of experience
- Built in top-tier Luxembourg or international law firms
- Significant in-house experience in regulated Fintech, Banking, or Insurance companies
- Deep understanding of the Luxembourg regulatory landscape
- Proven track record in managing complex corporate governance structures
- Confident in advising senior management, the Board of Directors, and external stakeholders with clarity and professional judgment
- Fluent in English
Desired Qualifications
- Ideally complemented by significant in-house experience in regulated Fintech, Banking, or Insurance companies
- Knowledge of French and Italian
