Corporate Counsel

Job Summary
Corporate Counsel responsible for enterprise-wide legal strategy execution including commercial contracting, intercompany transactions, and various regulatory and compliance matters. The role requires hands-on, broad generalist capabilities with duties spanning drafting and negotiation of transactional documents (LOIs, JV agreements, partnerships, and vendor contracts), compliance and risk management across international expansion and technology export controls, preparation of executive materials, and internal education on contracting and risk mitigation. The ideal candidate will partner with senior leadership to advise on legal strategy, ensure regulatory compliance, manage outside counsel, and contribute to governance and employment-law initiatives while fostering a mission-driven, ethical workplace.
Required Qualifications
- 5 years of relevant legal experience including mix of large law firm and in-house
- Juris Doctor from ABA-accredited law school
- Active license in good standing in the United States; Pennsylvania Bar admission preferred
- Authorized to work in the U.S. without the need for employment-based visa sponsorship now or in the future
- Strong understanding of SaaS business models and related legal issues
- Drafting and negotiating transactional matters including LOI, Joint Venture, partnerships, and vendor contracting
- Experience managing outside counsel and trial preparations as needed
Desired Qualifications

- Strong understanding of SaaS business models and related legal issues
- Proven ability to identify and analyze legal issues, draft key documents, and present clear recommendations to leadership
- Excellent oral and written communication skills and ability to influence stakeholders across seniority levels
- Willingness and flexibility to tackle a broad, hands-on generalist role including employment law, IP, and governance
- Ability to thrive in a fast-paced environment and manage competing priorities
- Ability to work collaboratively with legal colleagues and business clients
