Job Summary
Review, draft, and negotiate technology agreements, including master services, SaaS, and data processing contracts, for Auto Club Enterprises' insurance, motor club, and financial services businesses. Negotiate data privacy and security terms, manage intellectual property and trademark provisions, and provide business-focused advice on vendor risk, software licensing, and regulatory compliance. Collaborate with senior counsel and business stakeholders to support technology transactions across multiple states while utilizing contract lifecycle management tools and legal technology to improve efficiency. Manage high-volume workloads and multiple deadlines while maintaining confidentiality and adhering to professional responsibility standards.
Required Qualifications
- A J.D. degree from an ABA-approved law school
- Active membership in good standing with the California Bar, or eligibility to practice as California registered in-house counsel
- At least three years of transactional legal experience
- Experience drafting and negotiating commercial agreements
- The ability to identify legal material, operational, privacy, data security, intellectual property, and business risks
- Working knowledge of privacy, data incident/security, intellectual property, technology procurement, and commercial contracting principles
- Familiarity with the legal and operational issues associated with consumer-facing businesses, insurance companies, financial services companies, motor clubs, or other regulated industries
- Strong organizational, analytical, writing, negotiation, and communication skills
- The ability to express complex legal issues in clear, concise, and business-friendly language
- The ability to recognize and weigh business and legal risks
- A demonstrated willingness and ability to use AI tools and other legal technology to improve legal work, subject to appropriate confidentiality, security, accuracy, and professional responsibility safeguards
- Demonstrated ability to collaborate effectively with attorneys, business stakeholders, technology professionals, procurement teams, privacy and security personnel, and external vendors to achieve business and legal objectives
- Proven ability to work independently while exercising sound judgment, proactively seeking guidance when appropriate, incorporating feedback, and continuing professional development under the mentorship of senior attorneys
- Strong ability to manage a high-volume workload autonomously, prioritize competing demands, and consistently meet multiple deadlines in a fast-paced environment
- Substantial experience negotiating and drafting technology-related agreements, including SaaS, cloud computing, software licensing, data licensing, data processing, technology outsourcing, and managed services contracts
- Experience advising on privacy, data protection, and information security obligations in commercial agreements, including compliance with CCPA/CPRA, GLBA, state privacy laws, data breach notification requirements, insurance-industry privacy and security standards
- Knowledge of intellectual property matters, including trademark counseling, copyright licensing, open-source software compliance, software ownership rights, and intellectual property portfolio management
- Experience providing legal counsel to regulated organizations, such as insurers, financial services companies, motor clubs, healthcare organizations, or other consumer-facing enterprises operating in complex regulatory environments
- Familiarity with data incident response, vendor risk management, information security questionnaires, security addenda, or technology governance processes
