Job Summary

Lead internal deal teams through all phases of buy-side and sell-side GovCon transactions, preparing comprehensive M&A transaction summaries, legal risk assessments, and financial exposure details for the C-Suite. Review target companies' existing federal contract portfolios to evaluate DFARS compliance, subcontracting plans, and active industrial security requirements. Author and coordinate complex novation agreement packages with Administrative Contracting Officers to legally transfer acquired federal contracts. Manage external law firms and specialized GovCon consultants to control legal spending and ensure transaction deadlines are met. Adhere to normal working hours, meet deadlines, and follow company policies. Requires a JD, active state bar membership, 8-12+ years of corporate transactional experience, fluency in FAR/DFARS/SBA, and ability to obtain a U.S. Security Clearance.

Required Qualifications

  • Juris Doctor (JD) degree from an accredited law school
  • Active member in good standing with a state bar
  • Eligible for local In-House Counsel Licensure if relocating
  • 8 to 12+ years of corporate transactional experience
  • Initial training at a major law firm (BigLaw)
  • Meaningful corporate in-house experience at a large federal contractor
  • Advanced fluency in the Federal Acquisition Regulation (FAR)
  • Advanced fluency in Small Business Administration (SBA) size affiliation rules
  • Advanced fluency in Cost Accounting Standards (CAS)
  • Advanced fluency in organizational conflicts of interest (OCI)
  • Ability to obtain or maintain an active U.S. Security Clearance (Secret or Top Secret)
  • Post-employment ethics letter (if applicable for recent U.S. government employment)
