Job Summary
Corporate Counsel role serving as IWS’s lead in-house legal resource and strategic advisor, owning a broad scope including commercial contracts, litigation management, governance, M&A support, employment matters, and regulatory compliance. Partners with leadership to provide practical business-oriented legal guidance, manages outside counsel across specialized areas, and oversees contract templates, playbooks, and approval workflows. Drives contract lifecycle efficiency, advises on high-risk matters, leads dispute resolution, manages litigation budgets, supports corporate records and governance, ensures compliance with sponsor and lender requirements, and coordinates cross-border regulatory compliance and privacy programs. Seeks to contribute to growth and operational impact with strong business judgment and independent execution across a broad legal landscape.
Required Qualifications
- JD with active bar membership in good standing
- 10+ years of legal experience with significant in-house exposure
- Strong experience in commercial contracts and negotiations
- Experience supporting M&A transactions and integration
- Proven ability to manage outside counsel and legal budgets
- Working knowledge of corporate governance and compliance
- Experience with employment law and multi-state compliance
- Familiarity with international regulations (e.g., GDPR, FCPA)
- Strong business judgment and ability to operate independently across a broad legal scope
