Job Summary
Corporate Counsel to negotiate and draft a broad set of commercial agreements (master service agreements, statements of work, subcontractor and vendor agreements, NDAs, letters of intent, and independent contractor agreements); provide risk-based guidance and practical, business-focused legal advice to growth and leadership teams; collaborate with sales to move transactions forward and advise on risk allocation; support production and events-related risk, including force majeure and contract remedies; conduct legal research and translate complex issues for business stakeholders; partner cross-functionally with operations, finance, and other teams, liaising with outside counsel as needed; contribute to training and process improvements to promote a compliant, value-driven legal function; location options include Philadelphia, PA or Dallas, TX with a hybrid in-office/show-site schedule (2-3 days per week).
Required Qualifications
- Juris Doctor (J.D.) degree from an accredited law school
- Active membership in good standing in at least one state bar
- 3–5 years of substantive experience drafting, reviewing, and negotiating complex commercial agreements including master service agreements, vendor contracts, and customer-facing agreements with sophisticated counterparties
- Experience negotiating directly with counterparty counsel on both company paper and third-party paper
- Practical familiarity with risk allocation principles including indemnification structures, insurance requirements, and liability limitations in commercial services agreements
- Ability to learn new areas of law quickly and independently
- Strong analytical and written/oral communication skills
- Excellent organizational skills and ability to manage competing priorities and tight deadlines
- Proficiency with Microsoft Office and related productivity tools
- Preferred in-house counsel experience or background in experiential marketing/events is a plus
- Working knowledge of IP ownership, licensing frameworks, and content rights
