Job Summary
Senior Corporate Counsel specializing in employee benefits and executive compensation for a global diagnostics company. Responsible for ERISA compliance, design and governance of compensation programs, 401(k) and welfare plans, equity incentives, and governance matters including Form 10b5-1 trading plans, proxy disclosures, and Nasdaq listing considerations. Partners with HR, Finance, payroll, tax, treasury, and accounting on global equity incentive plans and employee benefits; supervises a paralegal supporting subsidiary management. Requires a Juris Doctor and substantial experience advising public companies on corporate, securities, and executive compensation matters; ability to work remotely and across multiple time zones; strong project management and internal stakeholder communication.
Required Qualifications
- Juris Doctor degree and in good standing to practice law in the applicable state
- Approximately 8 years of relevant experience
- Experience advising public companies on corporate, securities, executive compensation, and/or global equity incentive compensation matters
- Strong communication and interpersonal skills; collaborative approach
- Ability to work effectively in a remote environment and across time zones
