Job Summary
Draft, review, and negotiate commercial agreements including customer, reseller, partner, vendor, licensing, SaaS, and professional services contracts. Negotiate Data Processing Agreements, Business Associate Agreements, Non-Disclosure Agreements, and information security terms. Partner with stakeholders across Sales, Finance, Product, Information Security, and executive leadership to identify practical solutions while managing legal risk. Provide guidance on privacy, artificial intelligence, cybersecurity, and regulatory compliance. Develop and maintain contract templates, negotiation playbooks, and legal processes to improve operational efficiency. Manage outside counsel and independently handle assigned matters from intake through resolution.
Required Qualifications
- Juris Doctor from an accredited law school
- Active license to practice law in at least one U.S. jurisdiction and in good standing
- Experience negotiating commercial agreements within a SaaS, software, technology, cloud services, or other commercial technology environment
- Demonstrated ability to independently manage commercial transactions and provide practical, business-oriented legal advice
- Excellent written, verbal, negotiation, and interpersonal communication skills
- Demonstrated ability to communicate complex legal concepts in clear, practical business terms
- Strong organizational and analytical skills with the ability to manage multiple matters while exercising sound judgment
- Demonstrated commitment to professionalism, integrity, and client service
