Job Summary
Draft, review, and negotiate NDAs, MSAs, SOWs, vendor agreements, and BAAs to own the full commercial contract lifecycle. Serve as the primary legal contact for commercial matters across Operations, IT, BD, and other business teams while building templates and playbooks to standardize terms. Support the Chief Legal Officer on privacy program management, including HIPAA compliance, state and international privacy laws, and privacy impact assessments. Advise the business on emerging AI-related legal and regulatory questions, review AI vendor terms, and conduct research on commercial, privacy, and AI topics. Coordinate with outside counsel for specialized expertise and assist with corporate governance, policy development, and compliance initiatives. This role requires a New York bar member with 3-5 years of commercial contracting experience, with a hybrid schedule of at least four days in Tribeca, NYC.
Required Qualifications
- JD from an accredited law school
- Active bar membership in good standing
- New York bar membership (preferred but treated as required per schema instruction for location)
- 3-5 years of relevant experience in commercial contracting
- Experience in digital health, life sciences, or SaaS (preferred but treated as required per schema instruction for domain knowledge)
- Demonstrated skill drafting and negotiating commercial agreements
- Experience with, or strong interest in, privacy law
- Some prior privacy experience (preferred but treated as required per schema instruction for domain knowledge)
- Curiosity about AI and its emerging legal and regulatory landscape
- Self-starter mindset
- Ability to own matters from start to finish
- Ability to manage a varied workload independently
- Strong business judgment
- Ability to translate legal concepts into clear, practical guidance for non-lawyers
- Excellent written and verbal communication skills
- Authorization to work for Click Therapeutics in the U.S.
