Job Summary

Provide strategic legal counsel to executives on contracts, claims, compliance, insurance, employment, corporate governance, and risk management. Draft, review, negotiate, and manage commercial agreements including public and private construction contracts, subcontracts, joint ventures, real estate transactions, and technology agreements. Advise project teams on contract interpretation, change orders, differing site conditions, claims, payment disputes, and risk allocation. Lead construction claims and dispute resolution through negotiation, mediation, arbitration, and litigation. Develop contract templates, legal policies, and best practices to reduce organizational risk. Ensure compliance with federal contracting requirements including FAR/DFARS, Davis-Bacon, Buy America, and certified payroll. Supervise paralegals, manage outside counsel relationships, and maintain legal budgets. This full-time role reports to the CFO and supports complex heavy civil infrastructure projects across multiple entities.

Required Qualifications

  • J.D.
  • valid attorney's license
  • good standing with at least 1 state bar
  • Minimum of 8+ years in drafting, redlining, and negotiating construction contracts
  • experience managing contract functions
  • Must be experienced with negotiating both commercial and legal terms
  • Experience drafting and finalizing commercial agreements relative to the construction industry
  • experience with heavy civil infrastructure projects
  • Must maintain good standing with at least 1 state bar throughout employment
  • PA, WV, VA, MD bars preferred

Desired Qualifications

  • Combination of litigation and corporate experience
  • Experience with federal agency contracting (FHWA, FTA, Army Corps of Engineers, or similar)
  • Experience with federal procurement regulations
  • Experience in corporate, real estate, aviation, employment, M&A, or insurance/captive law
  • Familiarity with surety law
