Job Summary
Represent clients in buy-side and sell-side M&A transactions, equity and debt financings, and other corporate matters. Draft, review, and negotiate purchase agreements, commercial contracts, and related transaction documents. Counsel early-stage and growth companies on entity formation, funding strategies, and corporate governance. Manage transactions from initial structuring and due diligence through closing while serving as outside general counsel to private companies across various industries. Work directly with business owners, executives, and key stakeholders on general corporate and day-to-day business matters. Requires 3–7 years of experience, Maryland Bar admission, and strong drafting and negotiation skills.
