Job Summary
Draft and review offering documents for global IPOs, Rule 144A, Regulation S, and US-registered equity and debt offerings. Conduct due diligence, advise on disclosure and regulatory requirements, and manage multiple deals simultaneously under tight deadlines. Support M&A transactions where they intersect with the capital markets practice. Collaborate closely with underwriters, issuers, and US and Asia offices on cross-border matters. Requires a US-qualified lawyer with 2 to 3 years of post-qualification experience, bilingual fluency in Japanese and English, and Cravath rates. Required Qualifications
- US-qualified lawyer
- 2 to 3 years of post-qualification experience
- Bilingual in Japanese and English
- Native or very high fluency in both languages
- Excellent drafting skills
- Excellent communication skills
- Strong academic background
- Ability to thrive in a fast-paced, cross-cultural environment
- Must be available for significant cross-border collaboration with US and other Asia offices
- Must be able to manage multiple deals simultaneously under tight deadlines
