Job Summary
Corporate Associate Attorney to support a broad range of transactional matters, including mergers and acquisitions, corporate governance, and general corporate/transactional work. Responsibilities include representing clients in M&A and other transactions, drafting and negotiating purchase agreements, operating agreements, and shareholder agreements, advising on governance and ongoing compliance, collaborating with partners and clients, conducting legal research, risk assessments, and providing practical recommendations.
Required Qualifications
- J.D. from an accredited law school and admission to practice in New York State
- 4+ years of corporate law experience within a law firm environment
- Demonstrated experience with M&A transactions, financial and securities offerings, corporate governance, compliance matters, and general business transactions
- Ability to manage multiple deadlines, prioritize effectively, and thrive in a fast-paced, client-focused practice
- Strong communication, drafting, negotiation, and interpersonal skills
- Experience with private equity or venture capital transactions is a plus
