Job Summary

Coordinate board and shareholder meetings, prepare materials, take minutes, and maintain statutory records for a portfolio of local and international clients, primarily within the insurance sector. Manage corporate actions including constitutional amendments, share capital changes, and director updates, while ensuring all regulatory filings and government fee payments are completed accurately and on time. Maintain accurate corporate records, support Bermuda company incorporations, and conduct periodic client reviews to ensure KYC documentation remains current. Assist with invoicing, billing administration, and accurate time recording. Work independently to deliver high-quality company secretarial services and maintain strong relationships with clients, regulators, and internal stakeholders.

Required Qualifications

  • Degree or equivalent qualification in Business, Law, Finance, Accounting, or another relevant discipline, or an equivalent combination of education and experience
  • Approximately 5 years' experience in corporate administration, company secretarial services, or a related corporate services environment
  • Good working knowledge of the Companies Act 1981 and the administration of Bermuda companies
  • Strong understanding of corporate governance, regulatory filings, company secretarial practices, and corporate record management
  • Proven problem-solving skills, with the ability to manage multiple priorities and meet deadlines in a fast-paced environment
  • Strong client relationship management skills with a commitment to delivering exceptional service
  • Excellent organisational, communication, and interpersonal skills
  • Proficiency in Microsoft Office applications, particularly Word
  • Ability to work independently while collaborating effectively with colleagues and stakeholders

Desired Qualifications

  • Professional qualification or membership with The Chartered Governance Institute (CGI), such as ACG/FCG (formerly ACIS/FCIS)
  • Knowledge of Bermuda regulatory requirements, including the Insurance Act, Economic Substance requirements, and Beneficial Ownership regulations
  • Experience working with insurance companies and/or other regulated entities
  • Experience with Viewpoint and NavOne
