Job Summary
Schedule, coordinate, and attend board and committee meetings while preparing agendas, minutes, and supporting materials. Maintain accurate corporate records, file SEC, DFPI, FDIC, and FRB filings, and administer the bank's board portal. Ensure compliance with federal and California banking laws, monitor governance best practices, and collaborate with Legal, HR, and Finance on insider trading regulations and officer disclosures. Support shareholder communications, manage stock transfers, equity awards, and dividend payments, and facilitate regulatory examinations and inquiries. Act as a primary contact for directors and executives, overseeing safekeeping of official documents and implementing the Code of Conduct.
Required Qualifications
- An understanding of California corporate law, banking regulations, and governance best practices common to a publicly traded company.
- A willingness to act as a notary and manage Medallion Signature Guarantees.
- Exceptional organizational skills, with close attention to detail and ability to balance multiple workflows.
- Skilled in identifying issues that require escalation and managing the escalation process to completion.
- Exceptional written and verbal communication skills.
- High degree of professionalism, discretion, and integrity.
- Proficiency with board management software and Microsoft Office Suite.
- Minimum of 5 years of experience as a corporate secretary, administrator, or equivalent, preferably in the financial services or banking industry.
- Experience with assisting board members and executive management.
- Experience with taking board level corporate minutes and creating board packages.
- Experience with shareholder relations, stock transfers, and working with Computershare (or the equivalent).
