Job Summary
Manage contracts from intake through drafting, review, approval, execution, storage, renewals, and reporting to ensure agreements are accurate, compliant, and audit-ready. Draft, redline, and coordinate approvals for NDAs, DPAs, MSAs, and vendor agreements using Microsoft Word Track Changes, escalating non-standard terms involving indemnification, liability, and IP. Execute electronic signatures via DocuSign or Adobe Sign while maintaining metadata accuracy in CLM platforms like Ironclad or Conga. Track renewals, notice periods, and regulatory compliance for GDPR, CCPA, and HIPAA. Prepare reports on cycle times and SLA performance while improving templates and workflows to scale legal operations.
Required Qualifications
- 2+ years of experience in Contracts Administration, Legal Operations, or Contract Coordination
- Hands-on experience with CLM platforms such as Ironclad, Icertis, Agiloft, ContractWorks, Conga, SharePoint, or similar systems
- Strong proficiency with Microsoft Word Track Changes
- Strong proficiency with Microsoft Excel or Google Sheets
- Strong proficiency with PDF editing software
- Working knowledge of NDAs
- Working knowledge of DPAs
- Working knowledge of MSAs
- Working knowledge of Confidentiality agreements
- Working knowledge of Indemnification
- Working knowledge of Intellectual property clauses
- Working knowledge of Limitation of liability
- Working knowledge of Service Level Agreements (SLAs)
- Excellent written and verbal English communication skills
Desired Qualifications
- Experience supporting GDPR, CCPA, HIPAA, PCI-DSS, SOX, or other regulated environments
- Experience with both buy-side and sell-side contracts
- Exposure to procurement, vendor onboarding, vendor risk management, or security questionnaires
- Experience developing clause libraries, contract templates, and legal playbooks
