Job Summary

Lead all corporate secretarial functions, including board and committee meeting management, minute-taking, and statutory record-keeping in compliance with the Companies Act 2006. Ensure timely filing of annual returns and regulatory submissions with Companies House, HMRC, and other authorities while maintaining the corporate register for directors and controllers. Provide expert guidance on corporate governance best practices to the board and senior leadership, preparing agendas and coordinating documentation for distribution. Oversee governance policies, internal controls, and the annual audit process, serving as the primary liaison with regulatory bodies. Mentor junior staff and contribute to strategic initiatives such as M&A and organizational restructuring. Leverage IBM Certified System Administrator skills to manage digital governance systems and automate workflows.

Required Qualifications

  • Bachelor's degree in Accounting, Law, Business, or a related field
  • Minimum of 10 years of progressive experience in corporate secretarial, governance, or compliance roles within a regulated financial or accounting environment
  • Proven expertise in company law, corporate governance, statutory compliance and regulatory reporting (including Companies House, FCA, and HMRC requirements)
  • Strong working knowledge of audit processes, tax compliance and financial reporting standards
  • Proficient in Microsoft Windows, Microsoft Word, and Microsoft Excel with advanced data management and reporting capabilities
  • IBM Certified System Administrator certification with hands-on experience in system administration, security and data integrity
  • Excellent organizational, communication, and interpersonal skills with the ability to manage multiple priorities under pressure
  • High level of discretion, integrity and attention to detail
  • Ability to work independently and collaboratively within cross-functional teams
  • Experience leading governance projects, implementing compliance systems and supporting board-level decision-making
  • Familiarity with digital governance platforms and document management systems
