Commercial Counsel

Job Summary
Lead the drafting, negotiation, and execution of complex domestic and international commercial transactions with customers, suppliers, manufacturers, and strategic partners. Negotiate strategic agreements covering long-term supply, capacity reservations, manufacturing, OEM, procurement, sourcing, and distribution. Provide strategic legal guidance from deal structuring through post-closing support while partnering directly with senior leaders across Sales, Supply Chain, Procurement, Operations, Finance, and Engineering. Advise on forecasting, supply commitments, pricing, allocation, warranties, indemnification, intellectual property, and dispute resolution. Drive continuous improvement through contract templates, negotiation playbooks, AI-enabled legal workflows, and scalable processes. Serve as the primary legal advisor on commercial and strategic sales and supply chain transactions to build trusted relationships with business leaders.
Required Qualifications
- J.D. from an accredited law school
- active membership in at least one U.S. state bar
- 5–8 years of relevant legal experience
- experience at a nationally recognized law firm
- in-house experience with a technology, semiconductor, manufacturing, or industrial company
- Significant experience independently negotiating sophisticated commercial transactions
- Demonstrated ability to advise senior business leaders and influence business decisions through practical legal counsel
- Strong understanding of commercial contracting principles
- Exceptional drafting, negotiation, analytical, and communication skills
- Ability to manage multiple complex transactions simultaneously while maintaining excellent client service
- Strong business acumen and ability to translate legal concepts into practical business advice
- This position is based in our Greensboro, North Carolina office and is an onsite role
Desired Qualifications
- Experience supporting semiconductor, electronics, manufacturing, networking, telecommunications, or other advanced technology businesses
- Experience negotiating long-term supply, manufacturing, procurement, or strategic sourcing agreements
- Familiarity with international commercial transactions and cross-border contracting
- Experience improving legal operations through automation, AI tools, contract lifecycle management systems, or process optimization
