Job Summary
Draft, review, and negotiate a wide range of commercial agreements, including master supply agreements, sales contracts, purchase orders, and software licenses. Partner with sales, procurement, and business teams to provide guidance on contract terms, risk allocation, and negotiation strategy. Support the maintenance and continuous improvement of company contract templates, playbooks, and the contract management system. Escalate complex, high-risk or non-standard contract issues to senior legal leadership while monitoring legal and regulatory developments affecting the semiconductor industry. This day shift role in Livermore, California requires a J.D. from an ABA-accredited law school and 3-5 years of relevant legal experience. The salary range is $155,800.00 - $204,435.00 per year.
Required Qualifications
- J.D. from an ABA-accredited law school
- Active membership in good standing with at least one U.S. state bar
- 3 -5 years of relevant legal experience in commercial transactions, contract drafting/negotiation, or technology transactions
- Strong contract drafting skills and attention to detail, with the ability to manage a high volume of contracts simultaneously
- Excellent judgment in balancing legal risk with business objectives
- Ability to work independently, prioritize effectively, and communicate clearly with non-legal stakeholders
- Minimum of 5 years of related experience with a Bachelor's degree
- 3 years and a Master's degree
- PhD without experience

Desired Qualifications
- 1-2 years of experience at a large law firm (Am Law 50 or equivalent) with a transactional or technology transactions practice
- Experience in the semiconductor, electronics, or advanced technology manufacturing industry
- Familiarity with semiconductor-specific contract structures, including IP licensing, equipment and materials supply and purchase agreements
- Familiarity with Ironclad
