Commercial Counsel (Enterprise)

Job Summary

Negotiate and close high-volume enterprise SaaS agreements with customers across the Americas while managing concurrent deals efficiently. Review, redline, and negotiate customer paper, applying established fallback positions and exercising sound legal judgment on deviations. Serve as the legal counterpart to sales and customer experience, handling escalations and keeping deals moving by identifying emerging market trends and opportunities. Collaborate cross-functionally with sales, finance, and other legal teams to maintain consistency in commercial positions and share precedents. Maintain in-office presence on Tuesdays and Thursdays to collaborate with peers.

Required Qualifications

  • Juris Doctor (J.D.) and active membership in at least one state bar
  • 4–7 years of commercial legal experience
  • significant experience negotiating enterprise SaaS, cloud, or technology agreements in a high-volume environment
  • Demonstrated ability to manage a large and varied deal pipeline independently
  • comfortable with concurrent negotiations, competing priorities, and business-driven timelines
  • Strong commercial judgment, including the ability to make pragmatic decisions within established risk parameters and identify matters appropriately requiring escalation
  • Strong experience reviewing, redlining, and negotiating sophisticated customer paper
  • applying fallback positions with sound judgment on deviations
  • Deep familiarity with enterprise software commercial structures including SaaS subscription agreements, data processing agreements, security addenda, order forms, and professional services terms
  • Excellent communication and relationship-building skills

Desired Qualifications

  • Prior in-house experience at an enterprise SaaS, cloud, or technology company

  • Law firm candidates with unusually strong embedded commercial contracting experience
  • demonstrable sales-environment exposure
  • Experience with privacy and data protection provisions in commercial agreements, including GDPR and UK GDPR-related DPA negotiation
  • Familiarity with AI-related contractual provisions including data usage rights, AI training exclusions, model governance, and MCP or API commercial frameworks
  • Background serving enterprise customers in regulated industries such as legal services, financial services, or healthcare
