Job Summary

Conduct thorough legal research and analysis to support transaction preparation and strategy, while drafting error-free memos, contracts, and correspondence. Assist in structuring and executing complex securities offerings and providing disclosure advice for innovative issuer and underwriter clients. Manage transactions from inception to resolution, including negotiations, settlements, and closings, while ensuring rigorous compliance with the Securities Acts and Nasdaq or NYSE requirements. Build and maintain strong relationships with public companies, underwriters, and financial intermediaries through regular updates and professional client interaction. Work collaboratively with lawyers and business professionals to develop transaction strategies and participate in high-level client calls and meetings. Proactively engage in ongoing training and firm citizenship initiatives to enhance legal knowledge and leadership skills.

Required Qualifications

  • JD Degree from an accredited law school
  • Admitted to practice in the state in which you are officing
  • Minimum 4 years of public company and capital markets experience
  • Experience working with public companies, with their on-going periodic reporting
  • Strong Knowledge of the Securities Act of 1933 and the Securities Exchange Act of 1934
  • Strong Knowledge of the Nasdaq and New York Stock Exchange listing and governance requirements
  • Experience working with issuers, underwriters and other financial intermediaries in structuring and executing innovative and complex securities offerings
  • Experience providing disclosure advice
  • Experience working in a large firm (is a plus)
  • Direct and applicable AmLaw 100 law firm preferred
  • Ability to effectively communicate, verbally and in writing, with clients, lawyers, business professionals, and third parties
  • Ability to produce deliverables, answer phone calls, and reply to correspondence in an efficient and responsive manner
  • Ability to provide timely, accurate, and quality work product
  • Ability to successfully meet deadlines, expectations, and perform work duties as required
  • Ability to foster positive work relationships
  • Ability to comply with all firm policies and practices
  • Ability to engage in both physical and sedentary activity, such as (a) working at a computer for extended periods of time, including on-screen reading and typing
  • Ability to participate in digital/virtual conference calls
  • Ability to participate in meetings as needed
  • Ability to work under pressure and manage competing demands in a fast-paced environment
  • Ability to perform all other duties, tasks or projects as assigned
  • Ability to engage in and contribute to firm programs and initiatives
  • Ability to engage in civic and professional organizations
  • Ability to engage in pro bono work by providing legal assistance to underserved and underrepresented communities
  • Ability to proactively seek out and participate in ongoing training and development opportunities to enhance your legal knowledge, practice technology, management, and leadership skills
