Job Summary
Capital Markets & Corporate Governance VP for Wellhub's Global Legal team. Lead legal strategy for capital markets transactions (equity offerings, debt issuances, private placements, IPO readiness), oversee SEC regulatory submissions (S-1 registrations, prospectuses, 10-K/10-Q/8-K), and direct corporate governance at the board level. Role built for an autonomous, senior corporate attorney with experience navigating high-growth environments, combining in-house/public-company exposure with top-tier law firm background. Responsibilities include advising executive leadership on regulatory implications, coordinating with CLO/CFO/CEO, managing external counsel and underwriters’ counsel, ensuring compliance with SEC rules and stock-exchange listing standards (NYSE/NASDAQ), and shaping insider trading controls and investor relations disclosures. Requires ability to distill complex regulatory regimes for Board and C-suite, exceptional leadership across matrixed teams, and a proactive, wellbeing-focused mindset. The position supports hybrid/remote work within multiple US states; base salary ranges by location, with bonus and stock options potential.
Required Qualifications
- Juris Doctor (J.D.)
- Active law license in the United States
- 12+ years of corporate finance and securities law experience
- Experience with IPOs, equity offerings, debt issuances, and public market readiness
- Strong knowledge of SEC rules, U.S. GAAP, and corporate governance
