Job Summary
Represent issuers and underwriters in capital markets transactions including IPOs, follow-on offerings, and SPACs. Handle U.S.-China cross-border M&A, venture financings, and securities listings on NASDAQ and NYSE. Manage SEC, FINRA, and NASDAQ filings under the '33 and '34 Act while addressing corporate governance matters. Requires admission to the New York Bar, strong academic credentials, and fluent English and Mandarin communication skills. Required Qualifications
- at least one year of capital markets experience
- experience representing issuers and/or underwriters in capital markets transactions
- experience with initial public offerings (IPOs)
- experience with follow-on public offerings
- experience with registered direct offerings
- experience with ATM offerings
- experience with PIPE transactions
- experience with SPAC IPOs and de-SPACs
- experience with U.S.-China or other international cross border mergers and acquisitions
- experience with venture financings
- experience listing securities on NASDAQ and/or the NYSE
- experience with matters involving SEC, FINRA, and NASDAQ, and/or the NYSE
- experience with '33 and '34 Act filings
- experience with corporate governance matters
- Admission to the New York Bar, or the ability to become admitted shortly after hire
