Job Summary
Senior M&A Attorney with 6+ years of law-firm or in-house experience, responsible for leading and supporting high-profile M&A transactions (acquisitions, mergers, joint ventures, and complex deals). Advises clients on strategic matters, negotiates terms, structures deals, and provides guidance on Rep & Warranty Insurance (RWI) and other key deal elements. Manages due diligence, handles purchase agreements and disclosure schedules, and oversees client relationships from start to finish. Provides guidance on business-entity governance matters and on selecting and restructuring entities. Must be licensed to practice law in the State of Ohio; ownership of a minimum 200k portable book preferred.
Required Qualifications
- Licensed to practice law in the State of Ohio
- 6+ years of experience in a law firm or in house legal department
- Ability to work effectively with teams and independently
- Manage and prioritize multiple projects
- Experience handling high-profile M&A transactions and due diligence
- Comfort with advising on deal terms and governance matters
