Job Summary

Draft, review, and negotiate complex commercial agreements covering IT, SaaS, data-use, and AI-related transactions. Partner with business, procurement, and IT teams to identify and mitigate legal risks in enterprise-level deals and international expansion initiatives. Advise on data governance, privacy, and security while structuring transactions that balance legal protections with business objectives. Develop contract templates and internal guidance to improve contracting scalability. Coordinate with outside counsel and support due diligence for technology and vendor relationships. Up to 25% travel required.

Required Qualifications

  • J.D. degree from an ABA-accredited law school
  • Licensed to practice law and in good standing with at least one U.S. state bar
  • 6+ years of relevant legal experience
  • Experience with a combination of law firm and/or in-house experience
  • Strong focus on commercial contracting and technology transactions
  • Demonstrated experience drafting and negotiating complex agreements
  • Experience with SaaS and cloud services agreements
  • Experience with software licensing and implementation agreements
  • Experience with data use, data sharing, and data protection agreements
  • Experience with AI/ML-enabled products and services
  • Strong understanding of technology-related risk allocation
  • Experience working closely with business, procurement, IT, and/or information security teams
  • Experience supporting international transactions or cross-border commercial arrangements
  • Healthcare industry experience
  • Excellent oral and written communication skills
  • Strong organizational skills and attention to detail
  • Ability to work independently while exercising sound judgment
  • Strong interpersonal and stakeholder management skills
  • Demonstrated strategic thinking and business acumen
  • Proficiency with Microsoft Office tools (Word, PowerPoint, Outlook, Excel)
  • Up to 25% travel
