Job Summary
Support mergers, acquisitions, asset purchases, and stock transactions from due diligence through closing by drafting, reviewing, and negotiating purchase agreements, ancillary transaction documents, and related commercial contracts. Conduct and manage legal due diligence while coordinating with internal and external stakeholders. Advise clients on corporate governance, entity formation, restructuring, and succession planning, and assist with post-closing matters and ongoing corporate compliance. Provide practical, business-oriented legal advice tailored to client objectives. Requires a J.D. from an accredited law school, an active Virginia license, and 7+ years of M&A and corporate transaction experience. Salary range is $185,000 to $250,000 depending on portable client base and experience.
Required Qualifications
- J.D. from an accredited law school
- Active license to practice law in Virginia
- 7+ years of experience in Mergers & Acquisitions and corporate transactions
- Experience representing clients in mergers and acquisitions and related corporate transactional matters
- Strong drafting, analytical, and problem-solving skills
- Ability to manage multiple matters in a fast-paced environment while maintaining attention to detail
- Excellent written and verbal communication skills
- Collaborative approach to client service
