Job Summary
Associate Legal Counsel, Commercial Transactions responsible for managing and supporting corporate and project finance, M&A, and various commercial transactions. Will draft, negotiate, and administer key agreements (including power purchase agreements, REC purchase/sale agreements, asset and stock purchase agreements, and financing documents), oversee closings, manage outside counsel, and provide pragmatic legal advice to Business Development, Integrated Project Delivery, Accounting, and Project Finance teams. Requires ability to structure and execute complex transactions, manage multiple deals concurrently, and communicate effectively with internal and external stakeholders. Requires J.D. and active bar admission with Tennessee eligibility; 4+ years in commercial/finance/ corporate practice; renewable energy project financing experience preferred. The role emphasizes independent transaction management, risk-balanced guidance, and cross-functional collaboration within Silicon Ranch’s renewable energy business.
Required Qualifications
- J.D. degree from an ABA-accredited US law school
- Active bar admission in good standing in at least one state with ability to obtain bar admission in Tennessee
- Minimum of 4 years of experience as a commercial, M&A/corporate, or finance lawyer at a top-tier law firm or in-house legal department
- Substantial experience with finance transactions and complex commercial transactions
- Experience drafting and negotiating high-value agreements independently
- Renewable energy project finance experience (debt and tax credit) strongly preferred
