Job Summary
Draft, review, negotiate, and advise on commercial and technology agreements, including SaaS, licensing, and data-related contracts. Serve as a trusted legal advisor on commercial transactions to senior leadership, balancing regulatory requirements with business objectives. Provide legal guidance on data privacy and security matters while supporting the development and management of the global privacy program. Partner with Sales, Finance, Technology, Product, HR, and Operations to identify risks and develop practical solutions. Manage multiple complex matters independently, including due diligence for mergers and acquisitions, customer disputes, and litigation support. Develop templates and playbooks to improve contracting efficiency and administer contract lifecycle management tools.
Required Qualifications
- Juris Doctor (JD) from an accredited law school
- Active membership in good standing with the bar of at least one U.S. jurisdiction
- 8–10+ years of progressively responsible legal experience
- significant in-house experience
- Experience supporting a SaaS, software, technology, or similarly complex business environment
- Significant experience drafting and negotiating sophisticated commercial and technology transactions
- Strong knowledge of SaaS agreements, software licensing, data privacy, data security, and technology-related legal issues
- Experience advising senior executives and business leaders on complex legal, commercial, and risk matters
- Experience supporting M&A transactions, corporate matters, litigation, or regulatory compliance
- Combination of top-tier law firm and in-house technology/SaaS experience
- Exceptional legal judgment with the ability to assess risk and provide clear, actionable recommendations
- Strong business acumen and the ability to understand legal issues within the broader context of the company's commercial and strategic objectives
- Executive presence and credibility to effectively advise and influence senior leaders
- Highly skilled negotiator with the ability to navigate complex and high-stakes commercial matters
- Strong written and verbal communication skills, including the ability to translate complex legal concepts into practical business guidance
- Solutions-oriented mindset with a focus on enabling the business while appropriately managing risk
- Ability to operate independently and make sound decisions with minimal supervision
- Demonstrated ability to prioritize and manage multiple complex matters in a fast-paced environment
- Strong interpersonal skills and the ability to build trusted relationships across functions and levels of the organization
- High degree of integrity, discretion, accountability, and attention to detail
- Adaptable and comfortable operating in an evolving, growth-oriented environment
- Current residency, as well as continued residency, within the United States
Desired Qualifications
- significant in-house experience strongly preferred
- Experience supporting M&A transactions, corporate matters, litigation, or regulatory compliance is strongly preferred
- Combination of top-tier law firm and in-house technology/SaaS experience is preferred
