Job Summary
Associate General Counsel at Momentive Technologies responsible for providing strategic global legal counsel across labor and employment, benefits, workers’ compensation, commercial contracts, M&A, corporate governance, and compliance. Role involves partnering with senior leadership and the board, advising international business units (EMEA, APAC, Americas), drafting and negotiating complex agreements (NDAs, LOIs, term sheets, master services and other commercial contracts), managing litigation and investigations, overseeing immigration, employment relations, and benefit plans, and guiding corporate governance and subsidiary governance. The position requires a JD, U.S. bar license, 10+ years in corporate in-house practice, strong contract drafting/negotiation, experience with M&A due diligence, and ability to collaborate across functions, manage budgets, and travel ~20%. Based in Strongsville, OH.
Required Qualifications
- Juris Doctor (JD) from an accredited law school
- License to practice law in any U.S. state
- 10+ years of legal experience in complex corporate law within an in-house setting
- Demonstrated experience with corporate governance
- Experience in legal operations and budgeting including budgeting, billing, forecasting
- Strong contract drafting and negotiation experience
- Experience supporting mergers and acquisitions including due diligence and ancillary documents
- Ability to provide strategic, practical legal counsel across HR, labor and employment, benefits, immigration, and regulatory matters
- Strong communication and collaboration skills with leadership and cross-functional teams
- Ability to manage multiple projects with deadlines and high accuracy
- Travel willingness around 20%
- Experience liaising with external law firms and legal vendors
- Familiarity with capex projects, real estate matters, and commercial contracting
