Job Summary
Structure, form, and advise on all aspects of private funds, including open-ended, closed-end, and funds-of-one. Advise on the provision of investment advisory services to institutional separate account clients by negotiating investment advisory agreements. Support the structuring, development, and distribution of products and investment vehicles in the U.S. and internationally. Negotiate agreements with service providers and counterparties. Review requests for proposals, client questionnaires, and institutional marketing materials. Advise on public and private securities and loan trading issues. Work closely with the Legal and Compliance Department globally and supervise outside counsel. This role supports a U.S. registered investment adviser with broad strategies including equity, fixed income, and multi-asset solutions. The position is located in Neuberger's New York City offices within a private, independent, employee-owned firm managing $567 billion in assets.
Required Qualifications
- At least 8-10 years' experience
- 5+ years within the fund formation group of a large law firm
- Extensive knowledge of the Investment Advisers Act of 1940
- Knowledge of applicability of other regulatory frameworks to private funds, including the Investment Company Act of 1940, Securities Act of 1933, Securities Exchange Act of 1934 and Commodity Exchange Act (and associated CFTC/NFA issues)
- Ability to communicate effectively with senior management and investment professionals
- Efficient and resourceful, able to work independently, handle multiple and changing priorities, and meet deadlines
- Applicants must be authorized and have the right to work in the country where the role is located without the need for current or future sponsorship
