Job Summary
Director, Associate General Counsel with a primary focus on real property and real estate transactions, supporting M&A diligence, regulatory compliance for a CPUC-regulated water utility, and broad corporate governance. The role requires high autonomy, drafting and negotiating real property instruments and commercial agreements, managing outside counsel, and advising on land use, permitting, environmental compliance, and governance across multiple states. Ideal candidate has extensive in-house real estate and transactions experience, comfort with regulated-industry frameworks, and ability to operate independently within a lean legal team. Hybrid work schedule in San Jose, CA; relocation may be required if not commutable.
Required Qualifications
- J.D. from an ABA-accredited law school
- Active membership in good standing with the California State Bar, or eligibility to register as California in-house counsel
- 10+ years of progressive experience as legal counsel at a publicly held company, law firm, or regulatory agency, including 5+ years of senior-level responsibility for real estate transactions and land use matters
- Experience drafting and negotiating real property instruments: Easements, Rights of Entry, Licenses, Leases, Deeds
