Job Summary
Associate General Counsel at Five Elms Capital to support transactional and portfolio matters. The role focuses on investment transactions and portfolio company matters, including advising on majority/minority growth equity investments, buy-outs, recapitalizations, secondary purchases, and related governance issues. You will supervise external counsel, review and negotiate key documents (purchase/subscription agreements, shareholder/investor rights agreements, operating agreements, disclosure schedules, and closing documents), coordinate with the deal team to ensure timely execution, assist with due diligence, and provide guidance on corporate governance, M&A, equity issuances, and restructurings across portfolio companies. Requires a J.D. and admission to practice in at least one U.S. jurisdiction, with relevant experience in law firms or in-house at PE/growth platforms; on-site in Kansas City, MO.
Required Qualifications
- J.D. from an accredited law school and admission to practice in at least one U.S. jurisdiction.
- Strong experience in M&A, private equity, or growth equity transactions.
- Familiarity with portfolio company governance and lifecycle issues.
- Experience managing external counsel and multiple concurrent transactions.
