Job Summary

Negotiate Medicare Advantage risk agreements, value-based care arrangements, and commercial vendor contracts, including technology, SaaS, and business associate agreements. Draft, review, and maintain contract templates while monitoring CMS regulatory developments to advise on financial terms, risk structures, and performance guarantees. Support post-execution management, amendments, renewals, and dispute resolutions through attorney-to-attorney correspondence and Joint Operating Committee meetings. Collaborate cross-functionally with Finance, IT, and Compliance to align legal requirements with operational models. Assist in translating legal and regulatory risks into practical guidance for business stakeholders.

Required Qualifications

  • At least 5 years of relevant transactional legal experience in a law firm, in-house legal department, or a combination of both
  • Some experience with or exposure to healthcare payor contracting, value-based care arrangements, or similarly complex risk-based healthcare agreements
  • Foundational knowledge of Value-Based Care, Medicare Advantage Organizations, and healthcare fraud and abuse laws
  • Ability to draft and negotiate agreements, provide clear advice under complex situations, and build relationships across stakeholder groups
  • Ability to exercise initiative, independence, and sound judgment and to work proactively with appropriate supervision
  • Ability to identify and articulate legal and business risks and support balanced, informed decision-making
  • Ability to work effectively across functions and within a highly matrixed organization
  • Juris Doctor degree from an accredited law school
  • Active license and good standing to practice law in at least one U.S. jurisdiction
  • Periodic business travel may be required to attend company, legal, and/or other business meetings

Desired Qualifications

  • Prior in-house healthcare experience, particularly in a value-based care, managed care, or payor-facing environment
  • Knowledge of ACO REACH/LEAD, MSSP, or other federal healthcare program structures
  • Experience with vendor or commercial contracting, including technology, SaaS, or data agreements
  • Familiarity with contract lifecycle management systems or contracting process improvement initiatives
