Associate Director - Sale and Purchase Agreement ("SPA"), Transaction Services team

Associate Director, Sale and Purchase Agreement (SPA) in KPMG's Transaction Services team. Lead work streams on medium-sized engagements and contribute to larger engagements, providing price structuring and agreement vetting on SPAs—with a focus on completion accounts, locked box provisions, and any deferred consideration. Deliver vendor assist services (e.g., Locked Box papers) and post-completion advice on completion/earn-out accounts, while driving business development, practice development, risk management, and people development. Must have experience across the transaction cycle/transaction services and an awareness of price adjustment mechanisms, locked box arrangements, and earn-out provisions, plus experience in financial due diligence and/or financial audit. Requires ACA qualification or equivalent, strong academic background, and excellent written/oral communication and analytical skills, with a proven ability to work in high-performing, multi-disciplinary teams. Core hub is London Canary Wharf with flexible and home-working options and potential travel to client sites as needed.
